1. ACCEPTANCE
By accessing www.tanance.ch (‘Website’) and/or engaging the services of Tanance Group GmbH, you agree to be bound by these Terms of Use and General Commercial Terms (‘Terms’). These Terms apply to all Website visitors, persons requesting quotations, and clients engaging our services, unless a separate written service agreement expressly supersedes them. Continued use of the Website or services after any update to these Terms constitutes acceptance.
2. DEFINITIONS
‘Tanance’, ‘we’, ‘us’, ‘our’: Tanance Group GmbH, UID CHE-132.212.676, commercial register CH-020.4.075.180-2, Canton Zurich. | ‘Services’: all facility management, construction, fit-out, design, consulting, maintenance, handyman and related services. | ‘Quotation’: a written price proposal from Tanance Group GmbH. | ‘Disbursements’: out-of-pocket costs including material sourcing time, travel, parking and courier fees. | ‘Working Day’: Monday to Friday excluding Zurich public holidays.
3. WEBSITE USE
You may use the Website for lawful purposes only. Prohibited uses include: unlawful activity; spam or malicious content; impersonation; interference with the Website; unauthorised access attempts; automated scraping.
4. INFORMATION ACCURACY
Website content is for information only. Service descriptions and prices are illustrative and not binding offers. All services require a written Quotation and acceptance process.
5. ENQUIRIES AND QUOTE REQUESTS
Submitting an enquiry does not create a binding obligation. Tanance Group GmbH may decline any enquiry at its sole discretion. Site visits and needs assessments may be required before a Quotation is prepared. Time for site visits is governed by Section 7.
6. PRICING AND QUOTATIONS
6.1 Right to determine pricing
Tanance Group GmbH reserves the exclusive right to determine the price of all Services. Prices are set based on scope, complexity, time, materials, access conditions, urgency and compliance requirements. Any pricing information communicated before a written Quotation is indicative only.
6.2 Quotation preparation
Quotations set out: scope, price or pricing basis, disbursements, estimated schedule and any special conditions. Quotations are valid for 30 days from issue unless stated otherwise. Tanance Group GmbH may revise an expired Quotation.
6.3 VAT
All prices are stated exclusive of Swiss VAT (MWST/TVA) unless expressly stated. VAT is charged at the applicable Swiss rate. Tanance Group GmbH UID/VAT number: CHE-132.212.676.
6.4 Price variation
Where unforeseen circumstances arise during a Project (concealed defects, scope changes, hazardous materials), Tanance Group GmbH may issue a supplementary Quotation. Out-of-scope work will not commence without written Client authorisation.
7. BILLABLE TIME AND DISBURSEMENTS
7.1 Time-based charges
The following time is billable at the agreed or standard rate: material sourcing and procurement time; travel to and from Client sites for all purposes (surveys, checks, progress visits, handover); waiting time caused by Client delays; documentation preparation. Where not included in a fixed-price Quotation, these will be billed on a time and materials basis.
7.2 Disbursements
The following costs are charged to the Client at cost: travel (fuel, tolls, parking, public transport); accommodation for projects outside Zurich (agreed in advance); courier and freight costs; tool and equipment hire; permit and inspection fees; other third-party charges incurred for the Client. Disbursements exceeding CHF 200 in aggregate require prior written Client approval.
7.3 Mileage rate
Vehicle travel is charged at the rate in the Quotation or, where not stated, at the current Swiss federal mileage reimbursement rate (CHF 0.70/km, reviewed annually).
8. ACCEPTANCE OF QUOTATION — BINDING AGREEMENT
8.1 How acceptance occurs
A binding contract is formed when the Client: countersigns and returns the Quotation; sends written email acceptance referencing the Quotation number; makes a deposit payment; or requests commencement of work.
8.2 Acceptance of Terms and Conditions
By accepting a Quotation in any of the above ways, the Client confirms they have read and agreed to these Terms in full, including pricing (Section 6), billable time and disbursements (Section 7), payment (Section 9) and liability (Section 13). These Terms take precedence over any Client terms unless Tanance Group GmbH has expressly agreed otherwise in writing. The person accepting warrants they have authority to bind their organisation.
8.3 Withdrawal before commencement
If a Client withdraws after accepting a Quotation but before work commences, Tanance Group GmbH may invoice for all preparation time, material procurement and supplier bookings made in reliance on the accepted Quotation.
9. PAYMENT TERMS
Invoicing: Projects up to CHF 2,000 — full invoice on completion. Projects CHF 2,000-10,000 — 30% deposit on acceptance, balance on completion. Projects above CHF 10,000 — milestone schedule as agreed. Ongoing contracts — monthly in advance. Payment is due within 20 calendar days of invoice date by bank transfer. Late payment: interest at 5% per annum from the due date (Swiss OR Art. 104), work suspension rights and debt recovery costs apply. Invoice disputes must be raised in writing within 5 Working Days.
10. CLIENT OBLIGATIONS
The Client must: provide accurate site and scope information; ensure safe and timely site access; disclose known hazards; obtain required permissions and consents; provide Client-supplied materials on time; and maintain an authorised contact. Failures causing delay or additional cost will be charged under Section 7.
11. MATERIALS AND SUBCONTRACTORS
Materials are charged at supplier cost plus up to 15% handling unless fixed in the Quotation. Material sourcing time is billable (Section 7.1). Tanance Group GmbH may engage certified subcontractors and remains responsible for their work. Where a Client specifies a subcontractor, Tanance Group GmbH accepts no additional liability.
12. INTELLECTUAL PROPERTY
All Website content is owned by Tanance Group GmbH (UID CHE-132.212.676), protected by Swiss copyright and trade mark law. Design drawings and project documentation remain Tanance property until full payment; thereafter a project-specific licence is granted. Tanance retains the right to use project photographs for portfolio purposes.
13. LIMITATION OF LIABILITY
Tanance Group GmbH’s total liability for service-related claims is capped at the fees paid for the relevant Project in the 12 months preceding the claim. Tanance Group GmbH is not liable for indirect or consequential losses. Website-only liability is capped at CHF 100. Liability for death/injury caused by negligence, fraud and mandatory Swiss law provisions are not excluded.
14. WARRANTIES AND DEFECTS
Services will be performed with reasonable skill and care, per the agreed scope and in compliance with applicable Swiss standards. Defects must be notified in writing within 14 days of completion. Tanance Group GmbH will remedy confirmed defects at no charge. The warranty does not cover Client-supplied materials, third-party damage, wear and tear or undisclosed site conditions.
15. CONFIDENTIALITY
Both parties keep confidential all non-public information disclosed in connection with a Project. Confidentiality survives for 3 years after termination.
16. TERMINATION
Client cancellation after commencement: Client is invoiced for work completed, materials procured and committed third-party costs. Tanance may suspend or terminate for unpaid invoices (20+ days overdue), Client breach, safety risks or changed circumstances.
17. DATA PROTECTION
Governed by our Privacy Policy at www.tanance.ch/privacy-policy/. Both parties comply with Swiss nDSG.
18. FORCE MAJEURE
Neither party is liable for delays caused by circumstances beyond reasonable control. The affected party must notify promptly and use best endeavours to resolve.
19. GENERAL
Severability: invalid provisions are severed; the rest continues. Entire agreement: these Terms + Privacy Policy + Quotation/service agreement = full agreement. No waiver: non-exercise of rights is not a waiver. Assignment: Client may not assign without consent; Tanance may assign to successors.
20. GOVERNING LAW
Swiss law governs these Terms. Exclusive jurisdiction: courts of Canton Zurich, Switzerland. Mandatory Swiss consumer law provisions are reserved. Mediation is available before litigation on request.
